Menzies Aviation, Agility Global’s subsidiary, has been awarded one of two sets of ground handling licenses for passenger handling and ramp handling at the New Terminal One at John F. Kennedy International Airport (JFK) in New York.

During the five-year agreement, starting 2026, Menzies will deliver a wide range of above-and below-the-wing services including ramp handling and baggage, cabin cleaning, passenger services, ticketing, porter and passenger assistance.

This New Terminal One redevelopment is the largest single-terminal project in U.S. history and when completed in 2030, will have a capacity of serving 23 million passengers annually. However, we can’t assess the expected revenue at this moment

Agility Global PLC announces that Menzies Aviation (United Kingdom), the world’s largest aviation services provider by countries of operation and airports, has been notified by the DGCA that it no longer intends to pursue the award of the competitively bid international ground handling concession at Kuwait International Airport.

The company had previously been notified by the DGCA that it had submitted the winning technical and financial bids, with government royalties and rent potentially reaching KD 200 million over 10 years. The company had also committed to capital investment of KD 20 million for new equipment. In total, foreign direct investment (FDI) would have been up to KD 220 million.

As a result, Menzies Aviation and NAS, will conclude operations at Kuwait International Airport on 31 January 2026, when its existing contract expires.

Clarification Note: The DCGA letter was dated Oct 22, 2025, but the company received it on Nov 3, 2025.

Financial Impact:
The estimated Revenues from this contract represents around 3.6% of the estimated revenues of Menzies in 2025, and 2.1% of the estimated revenues of Agility Global in 2025.

Reference to our previous disclosure dated 14 April 2025, Agility Global PLC would like to announce that Menzies Aviation, has completed the acquisition of 100% of US-based G2 Secure Staff, for an enterprise value consideration of $305m plus a deferred consideration of $10m payable in 2026 and subject to achieving certain agreed upon performance metrics.

The $305m enterprise Value deal strengthens Menzies position as the world’s largest aviation services provider, operating at 350 airports in 65 countries.

The deal is expected to boost Menzies’ Group revenue by 20% to more than $3.1 billion, based on FY2024 figures.

G2’s operations will be rebranded under the Menzies Aviation name, with integration already underway to ensure a seamless transition for employees, customers, and partners.

Agility Global PLC is pleased to announce that Arqaam Securities LLC has been appointed as liquidity provider for its shares listed on the Abu Dhabi Securities Exchange starting 25 June 2025.

Agility Global would like to announce that it has approved an increase in the loan provided by a subsidiary of the Company to Agility Public Warehousing Company K.S.C.P. (“APWC”), with a total value of USD 110 million.

Further to our earlier disclosure, and pursuant to ADX approval dated April 24, 2025 for the Company to buyback its shares, the company will purchase 615,000,000 shares equivalent to 5.9% of the Company’s share capital owned by a subsidiary of APWC, subject to compliance with all regulatory requirements in Abu Dhabi including the announcement and disclosure related requirements. The consideration for the acquired shares will be in the form of a partial settlement of the aforementioned loan.

Furthermore, the Board of Directors of APWC has approved the distribution of in-kind dividends equivalent to circa 20% of the shares of Agility Global to its shareholders. Upon execution of the distribution and the buyback, the ownership of APWC in the Company through its subsidiary will be reduced to 25%.

Agility Global PLC would like to announce that one of its subsidiaries, Tristar, has signed a new credit facility with a number of regional and international banks for an amount of $ 255 million. The term of the facility is 18 months with an extension option. In addition, it is anticipated that Tristar will upsize this amount up to an additional $60 million within 3 months.

This amount will be required for refinancing and general corporate purposes.

Menzies Aviation, a wholly owned subsidiary of Agility Global PLC, would like to announce that it has signed an agreement to acquire 100% of US-based G2 Secure Staff, an aviation service partner of choice for major airlines across the United States, for an enterprise value consideration of $305m plus a deferred consideration of $10m payable in 2026 and subject to achieving certain agreed upon performance metrics.

This deal strengthens Menzies’ position as the largest aviation services business globally, by number of countries, number of airports and aircraft turns.

Once the transaction is closed which is expected end of Q2 2025 subject to certain regulatory approvals, G2 Secure Staff financials will be consolidated with Menzies’ and this is expected to boost Menzies’ group revenue by 20% to over $3.1 billion, based on FY 2024 revenue figures.  Note, this acquisition will be financed by existing external credit facilities extended to subsidiaries of Agility Global.

As part of the Company’s continued effort in managing its stake in DSV AS and the existing hedges over some of its DSV shares, Agility Global PLC has issued corporate guarantees to some of the existing hedging banks for a total amount of EUR 75.6M. The guarantees are issued as part of an optimisation of the current hedging structure.

Agility Global PLC would like to announce that one of its subsidiaries, will give a short-term facility for $400m to Al Farwaniya Property Developments LLC (“Farwaniya”), the company that owns and is developing Reem Mall.

This is a short-term loan as Al Farwaniya Property Developments LLC is in the process of finalising a new facility with third party lenders.

Since Agility Global fully guarantees Al Farwaniya existing facility, which is being repaid, this guarantee will fall away upon repayment of the existing facility, thus the short-term loan will have no material impact on Agility Global’s obligations, however, the amount will be reflected as a loan to a related party in the company’s financials.

Agility Global PLC’s subsidiary has signed a credit facility agreement with a number of regional and international banks for a total amount estimated at $1.4bn consisting of Euros 1bln and $ 370 mln.  The facility has maturities of 3 years and 5 years from signing.

This new credit facility will be used to fund ongoing operations and future growth as well as settling outstanding liabilities including inter-company balances.

As part of the refinancing, Agility Global and its subsidiaries will also be entering into various uncommitted credit lines with relationship banks in order to manage ongoing business operations in the ordinary course of business.  This can include issuing trade guarantees, executing foreign exchange and interest hedging as well as other cash management related lines such as short-term overdrafts. There is no change in the liabilities of the Company as of today as a result of this.

Agility Global would like to announce that it’s fully owned subsidiary, Agility Logistics Parks (ALP) has signed a  strategic partnership with Riyadh Development Company (ARDCO), a leading Saudi property development and management company, to build a state-of-the-art warehousing in Riyadh. ALP’s contribution to this partnership is 60%.

The total project value is SAR 227m and involves construction of 58,000 SQM of Grade A warehousing on a 97,904 SQM parcel of land in Riyadh.

The project construction duration is 2 years and will commence in the first half of 2025.
